Description of transaction: The Commission resolved to approve without conditions the acquisition by Compass Holding Norge of 4Service Offshore AS limited.
Acquiring group: The acquiring group is involved in food and support services, support services to the healthcare market, client procurement services management in the UK, support services to business and industry, purchasing services in North America, fine dining facilities, fine dining, food service at sports and entertainment facilities, and food service to the healthcare and senior living market.
Target undertaking: The target undertaking provides soft facility management services to offshore mobile oil and gas rigs, contract food services (such as canteen and kiosk operations), and soft support services (such as cleaning services).
Relevant market: The Secretariat looking at the activities of the merging parties defined the product market as the provision of Offshore Soft Facility Management Services to rigs in Namibia.
Merger Determination
The Commission found the proposed transaction unlikely to result in the prevention or substantial lessening of competition or result in any undertaking to acquire or strengthen a dominant position in the market and did not raise any public interest concerns.
However, as stated under section 50 of the Act, this approval does not relieve parties from complying with any other mandatory statutory approvals that any of the parties to this merger must comply with under Namibian Laws.
