Description of transaction: The Commission resolved to approve without conditions the acquisition by Adriaan Hermanus Van Zyl Louw of member’s interest in Namaqua North Meat CC.
Acquiring group: The acquiring undertaking is Adriaan Hermanus Van Zyl Louw, a businessman and currently owns interest in the target undertaking. The acquiring group is involved in the processing and sale of meat and meat products.
Target undertaking: The primary target undertaking is Namaqua North Meat CC involved in the meat industry. It purchases beef, pork, chicken carcasses, etc., which it then processes into specific cuts and products as droewors, biltong, chili bites, etc. These products are then sold to retail customers.
Relevant market: The Secretariat looking at the type of merger concluded that it is not necessary to definitively conclude on the relevant product market definition given that the merger does not raise competition concerns as the acquirer currently jointly controls the target undertaking
Merger Determination
The Commission found the proposed transaction unlikely to result in the prevention or substantial lessening of competition or result in any undertaking acquiring or strengthening a dominant position in the market and did not raise any public interest concerns.
However, as stated under section 50 of the Act, this approval does not relieve parties from complying with any other mandatory statutory approvals that any of the parties to this merger must comply with under Namibian Laws.
