Description of Activities
Description of transaction: The Commission resolved to approve without conditions the acquisition by Choppies Supermarket Namibia (Proprietary) Limited (‘’Choppies Supermarkets Namibia’’), of two businesses of Dehli Minimarket and Bakery CC & Dehli Fast Foods CC as a going concern.
Acquiring group: The primary acquiring undertaking Choppies Supermarkets Namibia is directly controlled by Choppies Enterprise Limited (“Choppies Enterprise”), a public company incorporated and existing under the laws of Botswana. Choppies Supermarkets Namibia operates grocery retail stores under the name and style of ‘Choppies’ located in different towns of Namibia.
Target undertaking: The primary target undertakings are the businesses of Dehli Minimarket and Bakery CC & Dehli Fast Foods CC as a going concern. The two businesses operate as a retail shop and fast-food outlet in Windhoek.
Relevant market: The Secretariat defined the relevant product market as the market for the retail of fast-moving consumer goods.
Merger Determination
The Commission found the proposed transaction unlikely to result in the prevention or substantial lessening of competition; it does not result in any undertaking acquiring or strengthening a dominant position in the market. However, the proposed merger did raise public interest concerns, especially employment. Thus, the Commission approved the merger subject to employment conditions.
However, as stated under section 50 of the Act, this approval does not relieve parties from complying with any other mandatory statutory approvals that any of the parties to this merger must comply with under Namibian Laws.
