Description of Activities
Description of transaction: The Commission resolved to approve without conditions the acquisition by Ongava Conservation Holding LLC of RM Management of Nevada Incorporated and Safari Ranch Holdings (Proprietary) Limited and ultimately Ongava Game Reserve (Pty) Ltd.
Acquiring group: The primary acquiring undertakings, Ongava Conservation Holding LLC is an investment holding company. The acquiring group has interest in a game reserve that owns agricultural commercial land on which it operates Lodges and undertakes conservation activities.
Target undertaking: The primary target undertakings, RM Management of Nevada Incorporated and Safari Ranch Holdings (Proprietary) Limited through Ongava Game Reserve (Pty) Ltd a game reserve owns agricultural commercial land on which it provides animal rehabilitation services and short-term accommodation to tourists.
Relevant market: The Secretariat defined the relevant product market as the market for the ownership of agricultural commercial land, and the market for the provision of short-term accommodation services as a lodge.
Merger Determination
The Commission found the proposed transaction unlikely to result in the prevention or substantial lessening of competition or result in any undertaking acquiring or strengthening a dominant position in the market and did not raise any public interest concerns.
However, as stated under section 50 of the Act, this approval does not relieve parties from complying with any other mandatory statutory approvals that any of the parties to this merger must comply with under Namibian Laws
