Description of transaction: The Commission resolved to approve without conditions the acquisition of the entire members’ interest in Beach Lodge CC, Swakopmund by Guerman Goutorov.
Acquiring group: The primary acquiring undertaking is Guerman Gotorov, a natural person, and he is involved in the business of cattle sales.
Target undertaking: The primary target undertaking is the members’ interest in Beach Lodge CC. The main business activities are accommodation/lodging for overnight stays in different types of rooms, namely twin rooms, family rooms, and luxury rooms. They have an on-site restaurant called “the Wreck” which serves breakfast, lunch, and dinner.
Relevant market: Defined the relevant product market as the provision of short-term accommodation.
Merger Determination
The Commission found the proposed transaction unlikely to result in the prevention or substantial lessening of competition or result in any undertaking to acquire or strengthen a dominant position in the market and did not raise any public interest concerns.
However, as per section 50 of the Act, these approvals do not relieve parties from complying with any other mandatory statutory approvals that any of the parties to the merger must comply with under Namibian laws. Below are the summaries of the mergers determined.
