Description of transaction: The Commission resolved to approve without conditions the acquisition of a controlling interest by TLC SA Transportation and Logistic Consulting in TLC Namibia Proprietary Limited.

Acquiring group: The acquiring undertaking is TLC SA Transportation and Logistic Consulting, a private company incorporated in terms of the laws of Switzerland that provides logistics services to the energy industry. The acquiring group specialises in logistic solutions in the oil & gas and other project-based industries in Africa, South America, and the Caribbean. These services include personalised solutions for freight forwarding, customs brokerage, marine agency, chartering, bunkering, meet & greet, and ship agency services. The acquiring group does not have any business operations in Namibia. 

Target undertaking: The target undertaking is TLC Namibia Proprietary Limited, a private company incorporated in terms of the laws of Namibia. providing services and facilities, freight forwarding and vessel agency services, as well as tailored logistics solutions to the Namibian oil & gas industry.

Relevant market: Defined the relevant product market as the provision of logistic services, freight forwarding, and vessel agency services in Namibia.

Merger Determination

The Commission found the proposed transaction unlikely to result in the prevention or substantial lessening of competition or result in any undertaking to acquire or strengthen a dominant position in the market and did not raise any public interest concerns.
