Description of Activities
Description of transaction: The Commission resolved to approve without conditions the acquisition by Jannie Mouton Stigting of the remainder of the entire issued share capital of Curro Holdings Limited.
Acquiring group: The acquiring undertaking is a Trust, which is primarily focused on the provision of bursaries and grants for study to learners and students in South Africa, community development and outreach, and the alleviation of poverty in South Africa, and is currently not active in Namibia.
Target undertaking: The primary target undertaking is an independent group of private schools, predominantly based in South Africa but with 3 schools in Namibia (being: Oshana Gymnasium; Walvis Bay Gymnasium; and Windhoek Gymnasium) and 1 school in Botswana, offering learning and teaching to learners from early childhood development phase to Grade 12.
Relevant market: : Concluded it is not necessary to definitively conclude on the relevant product market definition since the acquiring group does not have presence in Namibia.
Merger Determination
The Commission found the proposed transaction unlikely to result in the prevention or substantial lessening of competition or result in any undertaking to acquire or strengthen a dominant position in the market and did not raise any public interest concerns.
However, as stated under section 50 of the Act, this approval does not relieve parties from complying with any other mandatory statutory approvals that any of the parties to this merger must comply with under Namibian Laws.
